In a world where risks and challenges are constantly changing, a board’s primary responsibility is to oversee the company’s mission. A board of directors works independently of a company’s management and focuses on the company’s major issues rather than its daily operations. It decides on policies, develops corporate strategies, reviews executive reward and compensation, provides input on financial matters, makes investments, and focuses on managing the risk.

In fulfilling this duty the board must take an informed decision that it believes in good faith that will help the success of the corporation. This involves taking into consideration the following core elements:

Recognizing and analyzing the possible risks of an enterprise. The board must determine the risks, evaluate, and monitor the security, financial, and legal risks of a corporation. It should also devise strategies to reduce the risk posed by threats that are emerging such as climate change, artificial intelligence, digital currency geopolitical crises, ESG and many more.

It is essential to ensure that the business is operating legally and in compliance with applicable regulations. This includes ensuring that a company maintains proper documents, pays taxes, and provides proper disclosure to shareholders and other stakeholders.

Finding and evaluating the best people to fill key roles. The board must recruit qualified individuals to serve in the positions of president and chair, secretary and treasurer (or combined secretary/treasurer), and other officers as necessary. This means the establishment of criteria to select members of the board, evaluating applications as well as conducting interviews and deciding who to choose.

Helping board members, both current and new. Each board member is expected to help the other achieve their goals. This includes making sure they take part in meetings and attend in person or on the internet and contribute their knowledge and experience to discussions.
